{"id":512091,"date":"2025-01-10T12:45:05","date_gmt":"2025-01-10T12:45:05","guid":{"rendered":"https:\/\/www.constructionnews.co.uk\/?p=512091"},"modified":"2025-01-10T12:48:04","modified_gmt":"2025-01-10T12:48:04","slug":"government-calls-in-lendlease-purchase-for-scrutiny","status":"publish","type":"post","link":"https:\/\/www.constructionnews.co.uk\/financial\/government-calls-in-lendlease-purchase-for-scrutiny-10-01-2025\/","title":{"rendered":"Government calls in Lendlease purchase for scrutiny"},"content":{"rendered":"<p>The sale of Lendlease to a US private equity firm has been called in for government scrutiny on national security grounds.<\/p>\n<p>Last week, Lendlease Group announced it had <a href=\"https:\/\/www.constructionnews.co.uk\/financial\/lendlease-sold-for-35m-to-us-private-equity-firm-02-01-2025\/\">reached an agreement to sell its UK construction operations<\/a> to US private equity firm Atlas Holdings for \u00a335m.<\/p>\n<p><em>Construction News<\/em> understands that the deal is now being examined by officials under the National Security and Investment (NSI) Act.<\/p>\n<p>The act allows the government to intervene in deals that could impact the UK\u2019s national security.<\/p>\n<p>The call-in is not expected to scupper the acquisition but could delay it slightly.<\/p>\n<p>Under the act, the government has 30 days to consider the acquisition but can extend for a further period of 45 days and then a further period if agreed with the firm involved in the acquisition.<\/p>\n<p>The government can then either chose not to intervene or impose conditions on the deal.<\/p>\n<p>The law covers takeovers in 17 defined areas of the economy, including data infrastructure, defence, energy, the military and strategic transport projects.<\/p>\n<p>Firms buying any supplier holding plans or drawings for projects carried out for the Ministry of Defence (MoD) are automatically in scope.<\/p>\n<p>According to data provider Glenigan, Lendlease currently has five contracts with the MoD.<\/p>\n<p>In July, <a href=\"https:\/\/www.constructionnews.co.uk\/contractors\/lendlease\/\">Lendlease Construction Europe<\/a>\u00a0picked up <a href=\"https:\/\/www.constructionnews.co.uk\/contractors\/lendlease\/defence-framework-bears-fruit-for-lendlease-05-07-2024\/\">three deals for British Army<\/a> facilities under a broader\u00a0<a href=\"https:\/\/www.constructionnews.co.uk\/government\/seven-contractors-named-for-5-1bn-defence-estate-optimisation-11-05-2023\/\">\u00a35.1bn MoD framework<\/a>.<\/p>\n<p>The contractor said that the deals, worth a combined \u00a3450m, were procured under the Defence Estate Optimisation Army Programme by the Defence Infrastructure Organisation.<\/p>\n<p>Lendlease is building new accommodation, office and training facilities and extending existing facilities at Imjin Barracks (pictured) in Gloucestershire, St David\u2019s Barracks in Oxfordshire, and Beacon Barracks in Staffordshire.<\/p>\n<p>A spokesperson for the Cabinet Office told <em>CN<\/em> it had a policy of neither confirming nor denying whether specific deals had been called in under the NSI Act.<\/p>\n<p>Analysis by <em>The Times<\/em> today revealed that\u00a0<a href=\"https:\/\/www.thetimes.com\/business-money\/companies\/article\/uk-investors-raise-majority-of-alerts-under-national-security-law-lqhw50ttj\">UK investors made up 61 per cent of notifications<\/a> made under the NSI Act in the 12 months from April 2023, followed by the USA at 22 per cent.<\/p>\n<p>Yesterday, <em>CN<\/em> <a href=\"https:\/\/www.constructionnews.co.uk\/financial\/bovis-brand-to-be-revived-after-lendlease-sale-09-01-2025\/\">reported that Atlas Holdings intends to rename Lendlease<\/a>, resurrecting the historical Bovis brand name it dropped in 2011.<\/p>\n<p>It is not planning a major restructure of operations.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>The sale of Lendlease to a US private equity firm has been called in for government scrutiny on national security grounds.
