ISG Ltd\u2019s auditors say they will \u201ccooperate fully\u201d with an investigation that has been launched by the Financial Reporting Council (FRC) into the firm\u2019s final set of annual results.<\/p>\n

The FRC said yesterday (18 March) that it had \u201ccommenced an investigation\u201d into chartered accountancy firm MacIntyre Hudson (which trades as MHA).<\/p>\n

The probe will focus on the firm\u2019s audit of ISG Ltd\u2019s consolidated financial statements for the year ending 31 December 2022.<\/p>\n

A spokesperson for MHA said: \u201cMHA is committed to audit quality and we will be cooperating fully with the FRC as part of this investigation.\u201d<\/p>\n

In previous comments to Construction News <\/em>following ISG Ltd’s collapse, a spokesperson for MHA said it had been working on the audit for the firm\u2019s 2023 accounts at the time of the firm\u2019s collapse.<\/p>\n

\u201cBut [we] had delayed our sign-off due to going concern issues,\u201d they added.<\/p>\n

The decision to launch an investigation into the 2022 audit was made at a meeting of the FRC\u2019s Conduct Committee on 21 January but was only made public today (19 January), six months to the day after the first ISG Ltd firms filed for administration<\/a>.<\/p>\n

\u201cThe investigation will be conducted by the FRC\u2019s Enforcement Division under the Audit Enforcement Procedure,\u201d the FRC added.<\/p>\n

The FRC has the power to sanction auditors if they are found to have committed misconduct. Those sanctions can include unlimited fines and reprimands, and can also extend to prohibiting audit firms from carrying out statutory audits or excluding them from professional bodies.<\/p>\n

ISG<\/a> Ltd appointed MHA as an auditor in September 2022, and the auditor oversaw one set of financial results, for the year to 31 December 2022. ISG then entered administration last September<\/a>.<\/p>\n

MHA signed off the 2022 accounts, stating in the accounts that it had \u201cnot identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the group\u2019s and parent company\u2019s ability to continue as a going concern for a period of at least 12 months from when the financial statements are authorised for issue\u201d.<\/p>\n

The accounts for 2022 showed that ISG Ltd\u2019s contract liabilities had increased from \u00a318.6m at the beginning of 2021 to \u00a345.2m at the end of 2022. The firm reported a pre-tax profit of \u00a311.5m that year and its \u00a32.2bn turnover made it the sixth-biggest contractor in the CN100 2023 table<\/a>.<\/p>\n

ISG Ltd\u2019s next set of results \u2013 for the year to 31 December 2023 \u2013 were overdue with Companies House when it went under.<\/p>\n

The FRC is only investigating ISG Ltd\u2019s final audit, and the watchdog said it would \u201cnot be fair to treat any part of this announcement as constituting or evidencing an investigation into any other persons or entities\u201d.<\/p>\n

A total of eight ISG firms owed a combined \u00a3308m to their supply chains, administrators at EY said in December.<\/p>\n
