Tilbury Douglas is no longer owned by former Interserve shareholders, it has emerged.<\/p>\n

The contractor<\/a> separated from the former Interserve Group in 2022 after the former giant plc went into a pre-pack administration three years earlier, but continued to be owned by shareholders of the parent.<\/p>\n

Companies House records show that last month, Interserve Trustees Ltd was removed as a person of significant control of Tilbury Douglas\u2019 parent company.<\/p>\n

The contractor is now jointly owned by Irish investors Burlington Loan Management and Guernsey-registered Pun Holdings.<\/p>\n

A Tilbury Douglas spokesperson confirmed that the company\u2019s ownership had changed from multiple to just two shareholders.<\/p>\n

As a privately owned company, details of the terms of the sale are not available.<\/p>\n

The spokesperson said that the existing investors increasing their stakes \u201cdemonstrated their confidence in the group, our people, and our business plan and strategic direction\u201d.<\/p>\n

The end of ties with the former owners of Interserve marks the end of a connection dating back decades.<\/p>\n

An earlier incarnation of Tilbury Douglas carried out a series of acquisitions during the 1990s and expanded its focus from contracting to facilities management and outsourcing functions, renaming itself Interserve in 2001.<\/p>\n

By 2018 it employed 25,000 people in the UK and 70,000 worldwide and turned over \u00a33bn annually, but business was dogged by problems on energy-from-waste contracts and it racked up successive losses and huge debts.<\/p>\n

Interserve plc entered administration in March 2019<\/a>, with its assets and contracts acquired in a pre-pack administration by the group\u2019s lenders, which formed a new entity called Interserve Group Ltd.<\/p>\n

A series of asset sales followed and while the contracting arm was renamed Tilbury Douglas and separated operationally in 2022, it remained ultimately owned by the same shareholders.<\/p>\n

Interserve plc has been in the process of being wound up since 2022<\/a>, with delays to the process of transfer of shares of its stake in Qatari business Al Binaa Contracting Company holding up its completion.<\/p>\n

An update from administrators at EY in March this year said \u201cvarious local tax matters\u201d in Qatar meant formal clearance for the deal has still not been received.<\/p>\n

\u201cGiven the intricacies of the Qatari tax code and the related processes, it could still be some time until clearance is obtained,\u201d they said.<\/p>\n

Latest published accounts for Tilbury Douglas show it turned over \u00a3541.6m in the year to 31 December 2024, making an \u00a311.98m pre-tax profit.<\/p>\n

Tilbury Douglas chief executive Craig Tatton said the contractor was targeting a \u00a32bn order book and net margins of 3.5 per cent by 2029.<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"
